These Terms and Conditions ("Terms") govern your use of the Tota mobile and desktop application ("the App") and the website located at https://www.heytota.com ("the Website"), collectively referred to as "the Service". The Service is provided by Strategic Minds Group Limited, trading as Tota, a company registered in England and Wales with its registered office at 57 Nine Elms Lane, London, SW11 7DF ("we", "us", "our").

By downloading, installing, or using the App, or by accessing the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. About the Service

Tota is a private voice transcription application for iOS and macOS. The App uses on-device processing to transcribe speech to text, powered by the OpenAI Whisper speech recognition model and WhisperKit by Argmax, Inc. Audio data is processed entirely on your device and is not transmitted to our servers, to OpenAI, to Argmax, or to any other third party.

The iOS version of the App is available for purchase through the Apple App Store. The macOS version and licence keys are available for purchase through our Website. Website-based purchases and payment processing are facilitated by Lemon Squeezy (Lemon Squeezy LLC), which acts as the Merchant of Record.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3. Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App on devices that you own or control, for your personal, non-commercial use.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service.
  • Reverse-engineer, decompile, or disassemble the App, except to the extent permitted by applicable law.
  • Attempt to extract the source code of the App.
  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Remove, alter, or obscure any proprietary notices on the App or Website.

4. Purchases and Payments

If you purchase the iOS version of the App through the Apple App Store, the transaction is governed by Apple's terms and conditions. Apple processes the payment and handles refund requests for App Store purchases.

If you purchase through our Website (including the macOS version or licence keys), payments are processed by Lemon Squeezy, who acts as the Merchant of Record. Lemon Squeezy handles payment processing, VAT/tax collection, invoicing, and refunds for web-based purchases. By completing a purchase through the Website, you also agree to Lemon Squeezy's terms of service.

All prices are displayed inclusive of VAT where applicable. We reserve the right to change our pricing at any time, but changes will not affect purchases already completed.

5. Refunds

For purchases made through the Apple App Store (iOS), refund requests must be directed to Apple in accordance with their refund policy.

For purchases made through our Website via Lemon Squeezy, you may request a refund within 14 days of purchase by contacting us at team@heytota.com. Refunds will be processed by Lemon Squeezy to the original payment method.

6. Intellectual Property

All intellectual property rights in the Service, including but not limited to the software, design, text, graphics, logos, and trademarks, are owned by or licensed to Strategic Minds Group Limited. Nothing in these Terms grants you any rights in or to our intellectual property except as expressly set out herein.

7. Open-Source Software

The App incorporates the following open-source components, each of which is used under the MIT Licence:

These components are provided under the MIT Licence, which permits use, modification, and distribution subject to the inclusion of the original copyright notice and permission notice. The full text of the MIT Licence for each component is included within the App.

These open-source components are provided "as is", without warranty of any kind. The authors and copyright holders of these components shall not be liable for any claim, damages, or other liability arising from their use. This does not affect our own obligations to you under these Terms or under applicable consumer law.

OpenAI, Whisper, WhisperKit, and Argmax are trademarks or registered trademarks of their respective owners. Tota is not affiliated with, endorsed by, or sponsored by OpenAI or Argmax, Inc.

8. Your Content

Any text, audio, or other content generated through your use of the App ("Your Content") remains yours. Because the App processes data on-device, we do not access, collect, or store Your Content. You are solely responsible for Your Content and how you use it.

9. Availability and Updates

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may update, modify, or discontinue the App or Website (or any part of it) at any time, with or without notice.

Updates to the iOS version of the App may be made available through the Apple App Store. Updates to the macOS version are available directly within the App. To receive updates, you must hold a valid, paid licence key at the time of updating. We recommend that you keep the App updated to the latest version to benefit from improvements and security patches.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that transcriptions produced by the App will be completely accurate, error-free, or suitable for any specific purpose. You should review all transcriptions before relying on them.

11. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.
  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid for the App in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

12. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Our use of the following third-party services is described in our Privacy Policy and Cookie Policy:

  • Google Analytics and Google Ads (on the Website only)
  • Lemon Squeezy (payment processing and transactional emails)
  • Apple App Store (iOS app distribution and purchases)

13. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be available on our Website. If a revision is material, we will make reasonable efforts to provide notice (for example, by updating the "Last updated" date). Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Strategic Minds Group Limited regarding the Service and supersede all prior agreements and understandings.
